A PROPOSED RESOLUTION IN THE COUNCIL OF THE DISTRICT OF COLUMBIA

To confirm the appointment of Mr. A. Scott Bolden to the District of Columbia Water and
Sewer Authority Board of Directors.

RESOLVED, BY THE COUNCIL OF THE DISTRICT OF COLUMBIA, That this resolution may be cited
as the "District of Columbia Water and Sewer Authority Board of Directors A. Scott
Bolden Confirmation Resolution of 1998".

Sec. 2. The Council of the District of Columbia confirms the appointment of:

as a Alternate member of the Board, established by section 2(d) of the District of
Columbia Water and Sewer Authority Board of Directors Establishment and Department of
Public Works Reorganization Act of 1996, effective April 18, 1996 (D.C. Law 11111; 43 DCR
548), for a term to end September 12, 1999.

Sec. 3. The Council of the District of Columbia shall transmit a copy of this
resolution, upon its adoption, each to the nominee and to the Office of the Mayor.

Sec. 4. This resolution shall take effect immediately.

A. Scott Bolden has been with the firm since 1991. He regularly advises
corporate and individual clients on legislative, regulatory, corporate and litigation
issues locally, on Capital Hill and with the Executive Branch departments and agencies.
Mr. Bolden works with clients to develop and advocate positions on pending legislation and
regulations including formulating strategies, preparing testimony and lobbying for
clients’ interests.

Prior to joining the firm, Mr. Bolden was an Assistant District
Attorney in the New York County District Attorney’s Office. In that capacity he served as
lead counsel in over 20 trials for both the State Criminal and Supreme Courts. He also
presented complex criminal cases to grand juries, drafted complaints and pre-trial
motions; participated in all aspects of criminal investigation, discovery and motion
practice; drafted briefs and argued criminal appellate cases on behalf of the State of New
York.

During his tenure with the District Attorney’s office, Mr. Bolden
served as Chairman of the Criminal Justice Committee of the New York Metropolitan Black
Bar Association. Also in 1990, he received the Leadership Award for Outstanding Commitment
to Civil Rights in the Public Sector, presented by the New York State chapter of the
National Association for the Advancement of Colored People (NAACP).

Previously, Mr. Bolden served as Law Clerk to Judge Luke Moore of the
District of Columbia Superior Court, and as a Legal Counsel to the Committee on the
Judiciary for the Council of the District of Columbia.

Mr. Bolden received his J.D. from Howard University School of Law,
where he received a number of awards and scholarships. An active contributor to the Howard
Law Journal,
Mr. Bolden published a Case Note on "Constitutional Law — The
Fourth Amendment Protective Order for Non Violent Fleeting Felons" (Howard Law
Journal,
Vol. 29-I, 1985). He also participated in the National Moot Court Team and
Board of Phi Alpha Delta Legal Fraternity. He received his B.A., cum laude, in
political science, from Morehouse College.

Mr. Bolden is admitted to the Bars of Washington, D.C.; New York; the
United States District Court for the Southern District of New York; and Illinois State.

He is President of the District of Columbia Chamber of Commerce, an ex
officio Board Member of the Greater Washington Board of Trade and the Federal City
Council. He is a 1997 Leadership Washington graduate. He also serves on the board of the
Greater D.C. Cares, North Capital Neighborhood Development Corporation, the Private
Industry Council, the United Negro College Fund in the District of Columbia, and the
Individual Development Corporation. Mr. Bolden also co-hosts "Building Bridges for
Business," a weekly public service television program on business and economic
development in the District of Columbia and the metropolitan region.

Mr. Bolden and his wife, Lisa, make their home in Washington, D.C.,
with their twin daughters, McKenzie and McKay.
